US Closed Pioneer Funds Move to Maryland

BOSTON – (BUSINESS WIRE) – April 7, 2021

The board of each of the Pioneer Diversified High Income Trust (NYSE American: HNW), Pioneer Floating Rate Trust (NYSE: PHD), Pioneer High Income Trust (NYSE: PHT), Pioneer Municipal High Income Advantage Trust (NYSE: MAV), and Pioneer Municipal Fund High Income High Income (NYSE: MHI) (“the Fund”) announced today that it has voted to re-domicile the Fund from a Delaware statutory trust to a Maryland corporation (“re-domiciliation” in each case).

The name of each fund will change due to the re-domiciliation as follows:

Amundi Asset Management US, Inc. will continue to act as an investment advisor to each fund after redomiciling. As a result of the re-domiciliation of the Fund, there will be no changes in the investment objective and strategy of the Fund, the portfolio management team, policies and procedures, or the members of the Board of Directors who oversee the Fund.

For each fund, redomiciling will be accomplished through the compulsory merger of the current Delaware statutory trust with the newly formed Maryland corporation created for the purpose of redomiciling. For each fund, each outstanding beneficial interest share of a Delaware statutory trust will automatically be converted into one Maryland corporation common share. The direct result of the Fund’s re-domiciliation will not entail tax consequences for the Fund or its shareholders. The re-domiciling of each fund is expected to be completed in mid-April.

Following the re-domiciliation of each fund, shareholder rights will be governed by the Maryland General Corporations Act and the Articles of Association and Articles of the Fund. The board of each fund has decided that the Fund will be subject to the Maryland Controlling Share Act (the “Controlling Share Act”) following redomiciliation, as reflected in the Articles of Association of each fund.

The Control Shares Act protects the interests of all shareholders, generally providing that any holder of “control shares” acquired in the “acquisition of control shares” may not exercise voting rights in respect of “control shares”, unless approved by a vote of two thirds of all votes cast on this issue. Generally, “control shares” are shares that, when combined with shares already held by the acquirer, entitle the acquirer to use 10% or more, 33 1/3% or more, or a majority of the total voting rights voting shares in the election of directors. The Controlling Law provides that “acquisition of a controlling interest” does not include the acquisition of shares in a merger, consolidation or exchange of shares. Thus, a fund shareholder who acquires shares in a successor fund as a result of a fund merger will be able to exercise voting rights in respect of those shares even if the number of such shares acquired by the shareholder in the merger exceeds one or more of the thresholds of the Controlling Share Act.
